Course Introduction

Corporate decisions become particularly sensitive when directors, executives, shareholders, or connected parties have interests that may influence, or appear to influence, objective judgment. Transactions involving related parties, personal benefits, family or business connections, overlapping roles, or indirect financial interests can create legal and governance exposure even when the underlying transaction has a legitimate commercial purpose. The challenge is therefore not simply to prohibit conflicts, but to recognize them early and manage them through an appropriate decision process.

Boost Consulting & Training offers this course to develop practical capability in identifying, assessing, and managing conflicts of interest and related party transactions. The program examines direct and indirect interests, disclosure requirements, participation restrictions, transaction assessment, approval mechanisms, documentation, and recurring conflict situations. Participants will work with realistic corporate scenarios where commercial interests and individual relationships intersect.

The main concept of this course is to protect the integrity of corporate decisions by ensuring that connected interests are identified, disclosed, assessed, and managed before they compromise the decision process.
